1. Nature of Services

Vertex Advisory, LLC ("the Firm") provides specialized services in Financial Systems Architecture, Accounting Automation, and Fractional CFO Advisory. We utilize advanced technologies, including Python-based automation and Large Language Models (LLMs), to process and analyze financial data.

2. Professional Status & Safe Harbor

Non-CPA Firm: Vertex Advisory, LLC is not a Certified Public Accountant (CPA) firm and does not hold an Ohio permit under ORC 4701.14.

No Attest Services: We do not perform "attest services," including audits, reviews, or formal compilations.

No Legal or Tax Advice: Our services do not constitute legal or formal tax advice. Clients should consult with qualified attorneys or licensed CPAs for such matters.

3. AI and Automation Disclaimer

Our "Vertex Engine" and automated pipelines (including features like 'Magic Edit') are probabilistic systems.

Validation Required: All automated outputs must be validated by the Client before being used for regulatory filings or final business decisions.

Non-Determinism: The Firm is not liable for errors or omissions generated by third-party LLMs or machine learning models.

4. Client Responsibilities & Data Integrity

Source of Truth: Our work is based entirely on the raw data provided by the Client. We do not verify the underlying accuracy of your bank or credit card statements.

Privacy: We do not use Client-specific data to train foundational AI models.

5. Limitation of Liability

To the maximum extent permitted by law, the Firm's total aggregate liability for any claim arising from our services is limited to the total fees paid by the Client in the six (6) months preceding the claim. We are not liable for lost profits, indirect, or consequential damages.

6. Governing Law

These terms are governed by the laws of the State of Ohio. Any disputes shall be resolved through binding mediation in Montgomery County, Ohio.
